These Terms of Use (“Terms”) govern your access to and use of the SocialOnePoint website, platform, software, and related services operated by Insta Novation (“SocialOnePoint,” “we,” “us,” or “our”) at socialonepoint.com (the “Services”).
By accessing or using the Services, creating an account, subscribing to a plan, or connecting third-party accounts, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to enter into a legally binding agreement to use the Services.
If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
2. Our Services
SocialOnePoint provides tools intended to help users manage social media workflows, including scheduling, publishing, account connection, content management, analytics, and related features.
We may update, modify, suspend, or discontinue parts of the Services at any time, with or without notice, provided that nothing in these Terms limits rights that cannot be excluded under applicable law.
3. Account Registration and Security
To access certain features, you may need to create an account.
You agree to:
- provide accurate, current, and complete information;
- keep your login credentials secure and confidential;
- promptly update your account information when needed; and
- notify us immediately of any unauthorized access or suspicious activity involving your account.
You are responsible for all activity that occurs under your account unless caused by our failure to use reasonable security measures.
4. Subscription Plans, Billing, and Payments
Certain features of the Services may require a paid subscription.
By purchasing a paid plan, you agree to pay the fees displayed at the time of purchase, along with any applicable taxes. Pricing, plan features, billing frequency, and renewal terms will be presented at checkout or in your account settings.
If your plan renews automatically, you authorize us or our payment processor to charge the applicable recurring fees using your selected payment method unless you cancel before the renewal date.
You are responsible for keeping your billing information current and valid.
We may change subscription fees or plan features in the future. Any such changes will apply prospectively, not retroactively, and will be communicated through the Services, by email, or both where appropriate.
5. Cancellations and Refunds
You may cancel your subscription at any time through your account, if that option is available, or by contacting support at support@socialonepoint.com.
Unless otherwise stated at the time of purchase:
- cancellations stop future renewals;
- fees already paid are non-refundable; and
- you will continue to have access to paid features until the end of the current billing period.
If applicable law provides mandatory cancellation, refund, renewal, or chargeback rights, those rights will apply and nothing in these Terms limits them.
6. Free Trials and Promotions
We may offer free trials, promotional plans, discount codes, or limited-time offers from time to time.
Unless otherwise stated:
- promotional offers are temporary;
- we may modify or end them at any time;
- they cannot be combined unless expressly allowed; and
- abuse or misuse of promotions may result in suspension or cancellation.
If a free trial converts to a paid subscription, the applicable fee and renewal terms will be disclosed before you are charged.
7. Connected Accounts and Third-Party Platforms
The Services may allow you to connect third-party services, including social media platforms.
By connecting a third-party account, you authorize us to access, store, and use the information, permissions, and tokens necessary to provide the requested functionality.
You are responsible for:
- ensuring you have the right to connect and use those accounts;
- complying with the terms, policies, and rules of each connected platform; and
- understanding that third-party platforms may change their APIs, permissions, features, or policies at any time.
We are not responsible for outages, restrictions, suspensions, content removals, policy changes, or actions taken by third-party platforms.
8. User Content
You retain ownership of the content, media, captions, posts, data, and materials that you upload, create, schedule, publish, or otherwise submit through the Services (“User Content”).
You grant us a non-exclusive, worldwide, limited license to host, store, process, reproduce, adapt, transmit, and display User Content solely as necessary to operate, maintain, improve, and provide the Services to you.
You represent and warrant that:
- you own or control all rights necessary for your User Content;
- your User Content does not infringe any third-party rights;
- your User Content complies with applicable law and these Terms; and
- your User Content does not violate the policies of any connected platform.
9. Acceptable Use
You agree not to use the Services to:
- violate any law or regulation;
- infringe intellectual property, privacy, publicity, or other rights;
- upload, schedule, or publish unlawful, defamatory, fraudulent, harassing, hateful, misleading, or abusive content;
- distribute malware, malicious code, or harmful files;
- interfere with the operation, integrity, or security of the Services;
- attempt to gain unauthorized access to any account, system, or data;
- scrape, copy, reverse engineer, probe, or test vulnerabilities of the Services except where expressly permitted by law;
- use bots or automated methods in a manner that abuses the platform;
- impersonate another person or entity; or
- use the Services to send unauthorized spam or unlawful commercial messages.
We may investigate suspected misuse and suspend or terminate access where reasonably necessary to protect the Services, our users, or third parties.
10. Intellectual Property
The Services, including the software, design, branding, text, graphics, user interface, logos, features, and underlying technology, are owned by or licensed to Insta Novation and are protected by intellectual property and other applicable laws.
Except for the limited right to use the Services in accordance with these Terms, no ownership or other rights are transferred to you.
You may not copy, reproduce, modify, distribute, sell, lease, sublicense, or create derivative works from the Services except as expressly permitted by us in writing or by applicable law.
11. Service Availability
We aim to keep the Services available and reliable, but we do not guarantee uninterrupted, error-free, or always-available operation.
From time to time, the Services may be unavailable or limited due to maintenance, updates, infrastructure issues, security events, third-party outages, internet failures, or platform/API changes.
12. Suspension and Termination
We may suspend, restrict, or terminate your access to all or part of the Services if:
- you violate these Terms;
- your use creates security, legal, or operational risk;
- payment is overdue;
- required third-party access is revoked; or
- we are required to do so by law.
You may stop using the Services at any time.
Upon termination, your right to use the Services ends immediately, but provisions that by their nature should survive will continue, including those relating to payment obligations, intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution.
13. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
We do not guarantee that:
- the Services will meet all of your requirements;
- publishing or scheduling will always succeed without delay or interruption;
- results, reach, engagement, revenue, or growth will meet your expectations;
- third-party platforms will continue to support the same features or permissions; or
- the Services will always be free from bugs, downtime, or errors.
Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Insta Novation and its affiliates, officers, directors, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or opportunities arising out of or related to the Services.
To the maximum extent permitted by applicable law, our total aggregate liability for claims arising out of or related to the Services will not exceed the greater of:
- the amount you paid us for the Services during the 3 months before the event giving rise to the claim; or
- 100 CAD.
This limitation does not apply to liability that cannot be limited or excluded under applicable law.
15. Indemnity
You agree to defend, indemnify, and hold harmless Insta Novation and its affiliates, officers, directors, employees, contractors, and service providers from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
- your User Content;
- your misuse of the Services;
- your violation of these Terms; or
- your violation of any law or third-party rights.
16. Privacy
Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, and protect personal information.
17. Changes to the Services or These Terms
We may update these Terms from time to time to reflect changes to the Services, legal requirements, security needs, or business operations.
When we make material changes, we may post the updated Terms on this page and update the “Last Updated” date. Your continued use of the Services after the updated Terms take effect means you accept the revised Terms.
18. Governing Law
These Terms are governed by the laws of the Province of Québec and the applicable federal laws of Canada, without regard to conflict of law rules.
Nothing in these Terms limits any mandatory consumer protection rights that apply under the laws of your jurisdiction.
